MethaneInspector — Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCEPTING THEM IN THE APPLICATION, OR BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.

1. Definitions

“Licensor”, “we”, “us” means Smart Projects Holding, Ltd., a company organized under the laws of Malta and located at 85 St. John Street, Valletta, Malta, trading as UgCS.

“Software” means the MethaneInspector desktop application, its documentation, and any updates or additions the Licensor makes available.

“You”, “Customer” means the person or organization using the Software.

“EULA” means the MethaneInspector End User License Agreement supplied with the Software.

2. Nature of the Software

MethaneInspector is a desktop application for quality control and analysis of methane detection survey data. It is not a cloud or subscription service: the Software runs on your computer, and your project data is stored in files on your computer, under your control. The Licensor does not host, receive, or process your project data unless you explicitly send it (for example, when you choose to share a support report).

3. Relationship to the End User License Agreement

Your license to install and use the Software is granted under the EULA, which these Terms supplement. If these Terms and the EULA conflict with respect to the software license, the EULA prevails.

4. Acceptance and Changes to These Terms

The application presents these Terms on first start and again whenever the Terms change. Continued use of the Software requires acceptance of the current Terms; if you decline, the application closes and you may uninstall the Software. The current version of these Terms is also published on the MethaneInspector download page.

5. Your Responsibilities

You are responsible for the data you load into the Software, for having the necessary rights to use that data, for complying with laws applicable to your surveys and operations (including aviation and drone regulations), and for maintaining your own backups of project files.

6. Third-Party Providers and Their License Terms

The Software can display maps and other content obtained from third-party providers (for example, map tile, imagery, and geocoding services accessed with your own access tokens), and works with data produced by third-party sensors, drones, and software. These providers make their services and data available under their own license agreements and usage policies.

We kindly ask you to remember that obtaining the necessary subscriptions, access tokens, or licenses from such third-party providers — including map data and imagery providers — and fulfilling the terms of their license agreements is your responsibility as the customer. The Licensor does not grant, and cannot grant, any rights to third-party services or data on a provider’s behalf, and is not responsible for changes to, or the unavailability of, third-party services.

7. Results and Output Accuracy

Analysis results produced by the Software — including leak candidates, wind estimates, flow-rate estimates, and other derived values — are provided for informational and decision-support purposes only and may contain inaccuracies. You are solely responsible for independently validating outputs before relying on them for engineering, regulatory, safety-related, or business decisions.

8. Updates

The Software may check whether a newer version is available and offer to download it. Nothing is downloaded or installed without your confirmation. Updates may be accompanied by changed Terms or EULA provisions, which will be presented for acceptance.

9. Privacy and Local Data

The Software stores projects, settings, and logs locally on your computer. Support reports, which include application logs, are created and transmitted only when you choose to send them. The update check transmits only the information needed to compare versions.

10. Acceptable Use; Civil Use Only

You must not use the Software unlawfully, attempt to circumvent its technical restrictions, or use it to infringe the rights of others. The Software is provided exclusively for lawful civilian purposes; you must not use it, directly or indirectly, in connection with, in support of, or for the benefit of any military, weapons, targeting, intelligence, or combat project or activity, or for projects located in territories where active armed conflicts or military hostilities are taking place.

11. Export Controls

You must comply with all applicable export control, sanctions, and trade laws, including those of the European Union, the United Kingdom, and other applicable jurisdictions.

12. Intellectual Property

All intellectual property rights in and to the Software remain the exclusive property of the Licensor and its licensors. No rights are granted to you other than those expressly stated in the EULA and these Terms.

13. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES OR LOST PROFITS, AND THE LICENSOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS SHALL NOT EXCEED THE LICENSE FEES ACTUALLY PAID BY YOU FOR THE SOFTWARE, IF ANY. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

15. Termination

These Terms apply for as long as you use the Software. The Licensor may terminate your right to use the Software if you materially breach these Terms or the EULA. Sections 6, 7, and 12 through 17 survive termination.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with English law, and the courts of the United Kingdom shall have exclusive jurisdiction over all disputes relating to these Terms.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remainder remains in force. These Terms, together with the EULA, constitute the entire agreement between you and the Licensor regarding the Software and supersede all prior communications on the subject.
